  The following privacy policy ("Policy") relates to use of the online shopping portal, constituting the website available at www.nexus247.in and a related mobile application (if any) ("Online Platform") and the services provided on the Online Platform maintained, managed and operated by Shopsense Retail Technologies Limited ("Company"). The Online Platform utilizes certain intellectual property (and other functionalities) made available by Nexus Select Trust ("NxST/Nexus") to the Company (Company and Nexus hereinafter, jointly and severally, "us", "we", "our").

• 1.2

  This Policy has been designed to help you understand our practices in relation to the information that we collect from visitors through our Online Platform and/or users of our Services (defined below) (collectively, "User", "you", "your") and the manner in which we collect, use, hold, store, transfer, process, retain the Information (defined below) provided.

• 1.3

  The Online Platform is intended to enable you to browse, review, and purchase, products and services ("Services") which are made available by vendors who operate at various Nexus malls in India ("Malls") and other 'Nexus' malls operated by entities who may wish to offer similar Services through the Online Platform ("Affiliate Malls"). The Online Platform also allow you to access and avail the benefits of various offers and discounts and enrolls you into our loyalty program, NexusOne App Loyalty Program ("Loyalty Program").

• 1.4

  This Policy forms an integral part of the Terms of Use ("Terms") which govern your access to and use of the Online Platform and/or the Services. For the purposes of this Policy, unless defined hereunder, all capitalized terms shall have the meaning ascribed to them in the Terms available at www.nexus247.in.

• 1.5

  By giving your Information (defined below) to us, you confirm that you have the capacity to enter into a legally binding contract as per applicable laws, have read, understood, and agree with the privacy practices described in this Policy and the collection, storage and processing of your Information in accordance with this Policy.   By using, browsing, accessing, or purchasing any Services from the Online Platform you agree to be bound by the terms of this Policy and consent to the collection, storage, possession, dealing, handling, sharing, disclosure or transfer of your Information in accordance with the terms of this Policy. We shall not use your Information in any manner except as provided under this Policy.

  This Policy applies to all current and former Users accessing or using the Online Platform and/or Services or otherwise engaging with us through email or any other means of communication.

• 1.8

  This Policy is an electronic record under the Information Technology Act, 2000 ("IT Act") and the rules made thereunder. This Policy does not require any physical, electronic, or digital signature by us and has been published in accordance with the provisions of the IT Act and the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 ("SPDI Rules") and is to be read in addition to the provisions thereunder.

  We reserve the right to update this Policy, from time to time. We will post any Policy changes on this page and, if the changes are material, notify you directly (for example, by sending you an email notification). Please take a moment to familiarize yourself with our Privacy.

• 1.10

  Our Online Platform and Services are offered in compliance with the laws of India. If you are accessing or using the Online Platform from an overseas location, you are requested to independently validate the impact of any applicable local laws.

• 2.

  Definitions

• 2.1

  For the purposes of this Policy, the following capitalized terms shall have the meaning assigned to them below:

• i.

  "User Information" or "Information" shall mean information (as more fully detailed in Clause 3 hereunder) collected from Users, when they browse, use, access, or avail of Services on the Online Platform.

• ii.

  "Personal Information" with reference to any natural person, is defined under the SPDI Rules to mean any information that relates to such person, which, either directly or indirectly, in combination with other information available or likely to be available to a body corporate, is capable of identifying that person.

• iii.

  "Sensitive Personal Data or Information (SPDI)" is as defined under the SPDI Rules. Any information that is freely available or accessible in the public domain or information which can be obtained by a governmental agency under the Right to Information Act, 2005 (legislation which requires public authorities to disclose certain kinds of information) or any other law in force is excluded from the definition of SPDI.

• iv.

  "Affiliates" shall mean, with respect to NsXT or Company, any person that directly or indirectly through one or more intermediaries, controls or is controlled by or is under common control with either NsXT or Company, including entities that own and/or operate other 'Nexus' malls.

• 3.

  Information Collected

• 3.1

  For various purposes as set out in this Policy, we may collect Personal Information (including information that qualifies as SPDI) from you, including, but not limited to:

• i.

  Account Information: Your name, email address, date of birth, address, gender, phone number, third party sign-in information, loyalty membership information, programme affiliations, proof of identity such as Permanent Account Number (PAN), passport, driving licence, the voter's identity card issued by the Election Commission of India, or any other document recognized by the Government for identification, and other such information that you provide during registration, in response to surveys and questionnaires or otherwise.

• ii.

  Behavioural Information: Areas of the Online Platform and vendors at the Mall/Affiliate Malls that you visit, your browsing actions such as the time you spend on the Online Platform, and patterns, including your browsing history collected automatically upon your visit and other such information.

• iii.

  Transactional Information: Your purchases, whether on the Online Platform, or at the Mall and Affiliate Malls, transaction status, your previous orders and transactions including incomplete or failed transactions, details of your cart, product and pricing details, shipping details, your purchase preferences, and offers and discounts you have availed of. Transactional information gathered by us may be stored on servers, log files and any other storage system owned by any of us or by third parties.

• iv.

  Payment Information: Your payment instrument information, bank account details, transaction details, transaction history, preferences, method, mode and manner of payment, spending pattern and trends, and other similar data.

• v.

  Technical Information: Information about your computer hardware and software, including your Internet Protocol (IP) address, browser and operating system type, IMEI number of the computer or device from where the Online Platform was accessed, access times, locations, call recordings and similar information collected via automated means, such as cookies, pixels and similar technologies. The technical information you provide may be used to provide you with location-based Services including but not limited to search results and other personalised content. If you permit the Online Platform to access your location through the permission system used by your device operating system, we may collect the precise location of your device when the Online Platform is running in the foreground or background. You can withdraw your consent at any time by disabling the location tracking functions on your device. However, this may affect your experience of certain functionalities and Services on the Online Platform. In addition to the above, your IP address is identified and used to also help diagnose problems with our server, resolve such problems and administer the Online Platform. Your IP address is also used to help identify you and also to gather broad demographic information.

  We may also collect certain information, such as your web requests, operating system, browser type, URL, internet service provider, aggregate user data, software and hardware attributes, the URL of previous websites visited by you, list of third-party applications being used by you, pages you request, and cookie information, etc. We receive and store such information through data collection devices such as "cookies" on certain pages of the Online Platform, in order to help analyse the web-page flow, track user trends, measure promotional effectiveness, and promote trust and safety. Certain additional features may be offered on the Online Platform that are only available through use of a "cookie". We place both permanent and temporary cookies in your device. We may also use cookies from third party partners for marketing and analytics purposes. You understand that you may set or amend your web browsers to delete or disable cookies. If you choose to disable cookies on your computer or mobile device, it may impair, degrade or restrict access to certain areas of the Online Platform.   We are entitled to and will rely upon the accuracy of the Information furnished by you, as well as the accuracy of other data automatically collected or obtained when you access the Online Platform or avail of the Services.

• 3.4

  We collect your SPDI directly from you. All SPDI provided by you to us is voluntary.

• 3.5

  Your acceptance of this Policy constitutes your express consent to us for inter alia collecting, storing, recording, processing, using, disclosing, sharing or transferring to our Affiliates and/or any third parties, whether located in India or in any other country, the Personal Information (including SPDI) for the purposes specified in this Policy. You agree that the Personal Information (including SPDI) may be shared, without your prior consent, with government agencies mandated under the law to obtain Information for the purpose of verification of identity, or for prevention, detection, investigation including cyber incidents, prosecution, and punishment for offences.

• 3.6

  You may choose to not provide us with any or all Information, but in the event that you do so, we may be unable to provide you with our Services and/or access to the Online Platform.

• 4.

  Children's privacy

• 4.1

  Our Online Platform does not offer any Services for use by minors. If you are under 18 (eighteen) years of age, then please do not use or access the Online Platform or the Services at any time or in any manner. If you are a parent or guardian and discover that your child under 18 (eighteen) years of age, has visited the Online Platform or otherwise accessed the Services, then you may contact us at care@nexus247.in or the Grievance Redressal Officer and request that we delete the relevant Information from our systems. In the event, where in contravention to the Policy and Terms, a person below the age of 18 (Eighteen) uses the Online Platform, we shall not be held liable or responsible for any damage or injury suffered by such person.

• 5.

  Purposes for Collection

• 5.1

  We may collect and use your Personal Information, including SPDI, for any or all of the following purposes:

• 5.2

  Where necessary for us to comply with our legal/ regulatory obligations.

• 5.3

  Where necessary for us to provide Services through the Online Platform and to operate our business, including but limited to:

• i. To comply with health and safety obligations, and maintain security at the Malls and Affiliate Malls;

• ii. For research, analysing data, tracking trends, building algorithms, creating databases for rating systems, recommendations engines and related purposes;

• iii. To manage parking at the Malls and Affiliate Malls;

• iv. Offer ability to transfer points earned on the Online Platform to amenities offered in the Malls and Affiliate Malls (such parking, food court, games arena);

• v. For non-targeting reasons such as frequency capping, compliance, billing, ad reporting or delivery, market research or product development purposes, and user volume on the Online Platform;

• vi. To enable your enrolment and manage your membership in the Loyalty Programs and other such rewards programs, lucky draw contests and points redemption, where eligible, and to fulfil our contractual obligations under such programs;

• vii. To recommend suggestions on the basis of the Information collected and enable cross-sales;

• viii. To market/ promote other services and products generally offered by us;

• ix. To enable you to avail special offers and benefits from our business partners;

• x. To manage and top-up your Nexus gift card and for points utilisation;

• xi. To provide you with benefits and a uniform customer experience on your physical visit to the Mall or any Affiliate Mall, and to enable in-person returns;

• xii. To provide you with information regarding new products or services, privileges and offers, personalized services, marketing and promotional campaigns, facilitate personalized advertisements, and improve your overall experience on the Online Platform;

• xiii. To analyse Information collected and determine patterns, to enhance our offerings and Services to Users;

• xiv. To manage and administer any of our events and competitions which you enter, on the Online Platform or at the Mall or Affiliate Malls;

• xv. To provide access and usage of the Online Platform and the Services (including to undertake customization and improvements to the overall functionality of the Online Platform, bug fixing, error correction and improvement of technology);

• xvi. For payment, billing and invoicing-related purposes;

• xvii. To facilitate delivery of the products and offer related logistics support;

• xviii. For analysing the use of our resources, troubleshooting problems and other internal business purposes and Services, including without limitation, warehousing services, IT support services, and data analysis services;

• xix. To process and fulfil your request for Services, respond to any queries or grievances that you may have and to communicate information to you including any inquiries about the Services offered on the Online Platform;

• xx. To contact you through email, SMS, WhatsApp, telephone and any other mode of communication in relation to the Services;

• xxi. To detect, investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety of any person, violations of the Terms, or as otherwise required by law;

• xxii. To determine and prevent any security breaches, computer contaminant or computer virus on the Online Platform;

• xxiii. To carry out our obligations and enforce our rights arising from any contract entered into between you and Company and/or NsXT, as applicable;

• xxiv. To comply with any opt-out or do not disturb requests we receive from you;

• xxv. To send you important information regarding the Online Platform, including changes in terms and conditions, user agreements, and policies and/or other administrative information which govern the relationship between you and Company and/or NsXT; and

• xxvi. To conduct audits and quality assessment procedures.

• 5.4

  In addition to the above purposes, you hereby consent to our reproduction/publishing of all testimonials and reviews given by you on the Online Platform in relation to the Services and/or the Online Platform. You agree that we may edit the testimonials and reviews provided by you and reproduce/publish such edited or paraphrased versions of the testimonials and reviews on the Online Platform.   For any other purposes (i) related to any of the above; (ii) of which we provide specific notice at the time of collection; or (iii) as required or permitted under applicable law.

• 6.

  Transfer of Information

• 6.1

  We may from time to time be required to disclose the Information collected from you to relevant third party(ies) as enumerated under sub-clause (c) below, who shall assist us in order to facilitate, provide and/or improve the provision of Services to you, and solely in compliance the terms of this Policy including sharing your Information under compelled disclosure required as mandated by any regulatory authority or on public forums viz our websites, social media platforms, blogs etc. Such Information shall be shared on a need to know basis. When your Information is transferred, we will require that the transferee entity complies with the terms of this Policy and applicable data privacy laws.

• 6.2

  You also acknowledge that, due to the interconnected nature of our business operations, we (Company and NsXT) may require to share your Information amongst each other, as required, for the purposes mentioned in this Policy and to provide you a safe, efficient, seamless, and customised experience on the Online Platform.

• 6.3

  Information held by us may be disclosed, inter alia, to the following third parties for the purposes specified in this Policy or our other policies or as required or permitted under applicable law:

• i. Partners with whom we have contracts for the Services described in this Policy or arrangements through which they may offer products or services to Users, and to whom we may disclose User Information for a relevant purpose;

• ii. Service providers including sellers, agents, contractors, third party service providers that process or will process User Information on our behalf, including, but not limited to those which provide administrative or other services to us such as shipping companies, telecommunication companies, information technology companies and data centres, to improve the Online Platform;

• iii. Our other branches or businesses, or our group companies or Affiliates;

• iv. Any other person under a duty of confidentiality to us, which has undertaken to keep such information confidential, including with credit rating agencies, fraud prevention agencies, regulatory or governmental authorities and courts and law enforcement agencies.

• 6.4

  We may also disclose your Information when such disclosure is requisitioned under any law or judicial decree or when we, in our sole discretion, deem it necessary in order to protect our rights or the rights of other Users, to prevent harm to persons or property, to fight fraud and credit risk.

• 6.5

  We may also transfer your Information to a potential buyer, acquirer, transferee, assignee, merger partner or their advisors in connection with a sale, transfer, merger, consolidation or purchase of some or more of our assets or businesses or in exploration of such a transaction, as well as any restructuring or rearrangement of our operations and business. We shall ensure that third party to which we transfer or sell our assets will have appropriate confidentiality and security measures, at least as protective as those described in this Policy, to handle your Information. You will have the opportunity to opt out of any such transfer if the new entity's planned processing of your Information differs materially from that set forth in this Policy.

  A third party payment gateway provider may be required to collect certain financial information from you including, including but not limited to credit/debit card number, bank account details etc (collectively referred to as "Financial Information"). All Financial Information collected from you by such third party payment gateway providers will be used only for the purpose it has been collected viz billing and payment processes. The Financial Information collected from you is transacted through secure digital platforms of approved payment gateways which are under encryption, thereby complying with reasonably expected technology standards. The verification of the Financial Information shall be accomplished only by you through a process of authentication in which we shall have no role to play and hence, we shall bear no liability in relation to the same. We shall neither be liable nor responsible for any actions or inactions of third party payment gateway providers or any breach of conditions, representations and warranties given by them. We shall also not be obligated to mediate or resolve any dispute or disagreement between you and such third party payment service providers.

• 6.7

  While we take best efforts to ensure that your Information is duly protected by undertaking security measures prescribed under applicable laws, you are strongly advised to exercise reasonable discretion while providing your Information including Financial Information while using services of any third party service providers.

• 6.8

  Your Information shall be stored, processed and transferred in our facilities and servers in India and/or any other country, as we may choose at our sole discretion, subject to having adequate operational, technical, managerial and physical controls in place to ensure a secure environment, as required under applicable laws. By using the Online Platform, you consent to such storing, processing and transferring of your Information at our discretion.

  We reserve the right to conduct a background review at any time to ascertain your eligibility to access the Online Platform by validating your identity, age, geographical territory and any other registration data provided by you. We may conduct such reviews to verify your use of the Services and your financial transactions for potential breach of our Terms of Use and/or the applicable laws. By using the Online Platform, you authorize us, our staff, agents to use and share your Information and to disclose your Information to such third parties for the purposes of validating the Information you provide to us.

• 7.

  Retention of Information

• 7.1

  We will retain your Information only for as long as necessary for the purposes specified under the Policy, unless retention is permitted or necessary, for a longer duration under applicable data protection laws. Further, if the retention is not required or permitted under applicable data protection laws, we may either delete the Information or anonymize it or securely store your Information and isolate it from any further processing until deletion is possible.

  Your Rights

• 8.1

  Right to Review: You have the right to access and review the Information you have provided to us and correct or amend any inaccurate or deficient Information.

• 8.2

  Right to Opt-Out: Subject to applicable laws, you may also opt-out of the collection and use of your Personal Information (including SPDI) or withdraw your consent. It is hereby clarified that your decision to withdraw your consent will not affect the Personal Information already processed based on your previous consent (prior to the withdrawal of such consent).

• 8.3

  If you wish to remove any of your Information or opt out from any promotional offers, product/Service updates announcement from all our mailing lists and newsletters, you can click on the "unsubscribe" link or follow the instructions in each e-mail message. Alternatively, you can update your communication preferences in your account settings or you can contact us at customer care id at care@nexus247.in. Please note that you may still receive transactional or service-related messages, which are necessary for your account and order management.

• 8.4

  Please note however that your withdrawal of consent or cancellation of account may result in us not being able to deliver you products or provide you with our Services, or terminate any existing relationship that we may have with you.

  Your Obligations

• 9.1

  Compliance Obligations: It is vital that you comply with the terms of this Policy and refrain from inappropriately accessing or using SPDI or disclosing it to unauthorized persons.

• 9.2

  Updates: It is important that the Information we hold about you is accurate and current. Please keep us informed if your Information changes during the period for which we hold it.

• 9.3

  Unauthorized Access: It is important for you to protect against unauthorized access to your password(s), your computer and your mobile devices. Be sure to log off from the devices when finished. We do not undertake any liability for any unauthorized use of your account(s) and password(s). If you suspect any unauthorized use of your account(s), you must immediately notify us by sending an email to care@nexus247.in.

  Reasonable Security Standards

• 10.1

  We will take reasonable steps to ensure that the Personal Information including SPDI pertaining to you is stored in a secure environment protected from unauthorized access, modification or disclosure.

• 10.2

  We employ managerial, technical, operational and physical controls consistent with requirements under applicable laws, to safeguard SPDI against loss, misuse, copying, damage or modification and unauthorized access or disclosure.

• 10.3

  We regularly adapt controls to respond to changing requirements and advances in technology and we review our SPDI collection, storage and processing practices, including physical security measures, to guard against unauthorized access to systems.

• 11.

  Third-Party Links

• 11.1

  Our Online Platform may include hyperlinks to various external websites, and may also include advertisements, and hyperlinks to applications, content or resources ("Third-Party Links"). We have no control over such Third-Party Links, which are provided by persons or companies other than us. You acknowledge and agree that we do not make any representations concerning the privacy practices or policies of such third parties or terms of use of such websites, nor do we guarantee the accuracy, integrity, or quality of the information, data, text, software, sound, photographs, graphics, videos, messages or other materials available on such websites, and are not responsible for any collection or disclosure of your Information by any external sites, applications, companies or persons thereof. The presence of any Third-Party Links on the Online Platform cannot be construed as a recommendation, endorsement or solicitation of any material or content on such Third-Party Links, or any other material on or available via such Third-Party Links. We are not liable for any disputes arising from or in connection with such transactions between you and the aforementioned third parties.

  Such third-party websites, and external applications or resources, accessible via the Third-Party Links may have their own privacy policies governing the collection, storage, retention and disclosure of your information that you may be subject to. We recommend that you exercise reasonable diligence, as you would in traditional offline channels and practice judgment and common sense before committing to any transaction or exchange of information, including but not limited to reviewing the third-party website or application's privacy policy.

• 13.1

  Disclaimer: While we have implemented security policies, technical and organizational measures, however, we cannot ensure that all of your Information will never be disclosed in ways not otherwise described in this Policy. Therefore, although we are committed to protecting your privacy, we do not promise, and you should not expect, that your Information or private communications will always remain private. As a User of the Online Platform or our Services, you understand and agree that you assume all responsibility and risk for your use of the Online Platform, the internet generally, and the information you post or access and for your conduct on and off the Online Platform.

  Indemnity: You agree and undertake to indemnify us in any suit or dispute by any third party arising out of disclosure of information by you to third parties either through the Online Platform or otherwise and your use and access of websites, applications and resources of third parties.

  Limitation of Liability: We shall not be liable for any consequential, incidental, special, indirect, exemplary or punitive damages, or damages for any loss of profits, revenue or business, regardless of the nature of the claim, even if we have been notified of the possibility of such damages.

  Governing Law and Jurisdiction: This Policy shall be governed by the laws of India as applicable between residents of India without regard to any principles of conflict of laws. Subject to the Terms, any and all disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Mumbai, India.
